Description of Activities

Description of transaction: The proposed transaction involves the acquisition by Mr. Christian John Hall (“Mr. Hall") and Mr.  Bernhard Frankenfeld (“Mr. Frankenfeld”) of the Estate of Late Mr Siegfried Ernst Strzelecki ’s (“Mr. Strzelecki”) member's interest in Swakopmund Abattoir CC. In addition, both Mr. Hall and Mr. Frankenfeld intend on acquiring the deceased’s share in the immovable property Section No. 2, Di-Walri Cort, situated on Erf No. 256, Walvis Bay, Namibia. According to the Memorandum of Agreement of Sale of Members’ Interest, these components are connected, interdependent, and indivisible such that none would have been concluded without the others.

Acquiring group: The primary acquiring undertakings are natural persons; Mr. Hall and Mr. Frankenfeld will acquire the target undertaking in their personal capacities. Aside from his members’ interest in the target undertaking, Mr. Hall owns Karabib Schlachterei (Pty) Ltd, which is said to be dormant. Whereas Mr. Frankenfeld does not own any other undertaking. 

The acquiring group, by virtue of their interest in the target undertaking, are involved in livestock slaughtering services, meat processing and packaging, cold storage, wholesale distribution and supply of meat products, and retail butchery. 

Target undertaking: The primary target undertaking is Swakopmund Abattoir CC, which is jointly owned by Mr. Hall, Mr. Frankenfeld, and the Late Mr. Strzelecki. The target undertaking is involved in livestock slaughtering services, meat processing and packaging, cold storage, wholesale distribution and supply of meat products, and retail butchery in Swakopmund, Namibia.

Relevant market: The merging parties defined the relevant market as livestock slaughtering services, meat processing and packaging, cold storage, wholesale distribution and supply of meat products, and retail butchery in Namibia.
