Description of transaction: The proposed transaction involves the acquisition of sole control, whereby OneLogix transport (Pty) Ltd (“OneLogix transport”) intends on acquiring sole control of OneLogix hardcore Logistics Nam (Pty) Ltd (“OneLogix hardcore Logistics Nam”) by acquiring the shareholding currently held by John Brunning Coleman. Post-merger, OneLogix transport, will solely control OneLogix hardcore Logistics Nam.
Acquiring group: The primary acquiring undertaking is OneLogix transport, a limited liability company incorporated in Namibia. OneLogix transport is a wholly-owned indirect subsidiary of OneLogix Holdings (Pty) Ltd, which is controlled by Bradkel RealCo (Pty) Ltd. Aside from its shareholding in the target undertaking, OneLogix transport has an indirect shareholding in Performance Properties (Pty) Ltd. OneLogix provides car carrier transportation services between dealers in the Namibian market. The broader acquiring group operates within Namibia and south Africa, mostly dealing with transportation of motor vehicles and refrigerated goods.
Target undertaking: The primary target undertaking is OneLogix hardcore Logistics Nam, a limited liability company incorporated in Namibia. OneLogix hardcore Logistics Nam currently controls Performance Properties (Pty) Ltd, while its shareholding is currently held by the acquiring undertaking and John Brunning Coleman. OneLogix hardcore Logistics Nam provides road freight transportation, logistics, and related services in, into, and from Namibia.
Relevant market: The merging parties submit that the relevant market is the Namibian provision of road freight transportation and logistics services.
