Description of Activities
Description: The Commission resolved to approve without conditions the proposed transaction involves the indirect acquisition by Oryx Properties Limited (“Oryx Properties”) of the immovable industrial property assets held by Kalahari Expeditions Close Corporation (“Kalahari”) and Zeal Properties One Hundred and Five Close Corporation (“Zeal Properties”).
Acquiring group: The primary acquiring undertaking is Oryx Properties Limited, a public company listed on the Namibian Stock Exchange, a Namibian company engaged in the ownership, management and investment in a diversified portfolio of properties, including premium retail, industrial, and residential properties throughout Namibia.
Target undertaking: The target undertakings comprise Kalahari and Zeal Properties, which are property-holding entities established for the ownership and holding of immovable industrial properties. Kalahari owns an industrial property currently leased to third parties, while Zeal Properties owns a vacant industrial erf on which no business activities are currently conducted.
Relevant market: Defined the relevant market to be the market for the ownership, leasing, and management of industrial property within the Windhoek municipal area.
Merger Determination
The Commission found the proposed transaction unlikely to result in the prevention or substantial lessening of competition or result in any undertaking to acquire or strengthen a dominant position in the market and did not raise any public interest concerns.
