Description of Activities

Description: The Commission resolved to approve without conditions the proposed transaction, which entails Alfred William Fuller acquiring all shares in Erf Three Six Zero Zero Walvis Bay (Pty) Ltd, thereby becoming the indirect owner of an immovable property owned by Erf Three Six Zero Zero Walvis Bay (Pty) Ltd.

Acquiring group: The primary acquirer is Alfred William Fuller, a natural person, who currently controls four other entities that are involved mainly in property investments and holding focused on residential-zoned properties.  

Target undertaking: The primary target undertaking is Erf Three Six Zero Zero Walvis Bay (Pty) Ltd, a Namibian private incorporated entity controlled by Epic Holdings (Pty) Ltd. The Target Undertaking does not control any other undertaking directly or indirectly. The Target Undertaking owns a single industrial-zoned immovable property with active leases.  

Relevant market: Defined the relevant market to be the ownership of immovable properties zoned industrial within the municipality of Walvis Bay. 

Merger Determination

The Commission found the proposed transaction unlikely to result in the prevention or substantial lessening of competition or result in any undertaking to acquire or strengthen a dominant position in the market and did not raise any public interest concerns.
