Description of Activities

Description: The Commission resolved to approve without conditions the acquisition by Oakview Capital L6 DAC (“first acquiring undertaking”) and CF BM UK Holdings Limited (“second acquiring undertaking”) of joint control over Société Phocéenne De Participations (“target undertaking”) by means of a financial restructuring process.


Acquiring group: The first acquiring undertaking is an Irish-incorporated company engaged in the acquisition, holding, management, financing, collection, and transfer of financial assets. It is ultimately controlled by Davidson Kempner Capital Management LP, a US-based institutional investment management firm managing assets in multi-strategy and event-driven strategies with a focus on fundamental investing in special situations, short- and long-term investment duration, performing or distressed situations, and merger arbitrage.The second acquiring undertaking is involved in investing in a wide range of private and listed asset classes (e.g., private equity, ventures, growth, credit, real estate, infrastructure, and listed equities). The second acquiring undertaking is active and generates turnover in Namibia through its global online music platform. Further, it owns a multinational energy company active in various business segments such as sustainable mobility, commercial and clean energies, energy parks, chemicals, and trading, as well as, to a limited extent, exploration and production of oil and gas.The target undertaking is a global shipping company that provides a wide range of support services to the oil and gas industry worldwide, most notably marine logistics services, subsea services, and offshore personnel transportation and transfer services.

Target undertakings:Société Phocéenne de Participations is a French company owned by a consortium of French banks. Bourbon Maritime SASU, a subsidiary of Société Phocéenne de Participations, is a France-based global shipping company that provides a wide range of support services to the oil and gas industry worldwide, most notably marine logistics services, HF subsea services, and offshore personnel transportation and transfer services. In Namibia, Bourbon is active via its local branch (Bourbon Logistics) and provides integrated logistics services to the oil and gas companies, including the provision of marine logistics services.

Relevant market: Defined as the market for the provision of maritime support services through Offshore support vessels to the upstream offshore oil and gas sector in Namibia. 

Merger Determination

The Commission found the proposed transaction unlikely to result in the prevention or substantial lessening of competition or result in any undertaking to acquire or strengthen a dominant position in the market and did not raise any public interest concerns.

However, as stated under section 50 of the Act, this approval does not relieve parties from complying with any other mandatory statutory approvals that any of the parties to this merger must comply with under Namibian laws
