Description of Activities
Description of transaction: The Commission resolved to approve without conditions the acquisition by Black Falcon Investments (Proprietary) Limited from Unitrans Namibia Holdings (Proprietary) Limited.
Acquiring group: The primary acquiring undertaking, Black Falcon Investments is a newly registered entity and is not yet operational. The acquiring group is an investment and property holding company whose subsidiaries cover a wide range of commercial activities. These activities include used oil collection and recycling; offshore waste management; bunkering; engineering services to mining, marine mining, and ship repair industries; drydock; ship repair; fabrication and conversations; and residential property management.
Target undertaking: The target undertaking, Unitrans is a provider of integrated logistics and supply chain solutions and services. Additionally, the target undertaking provides mining and bulk materials handling services in several regions in Africa.
Relevant market: The Secretariat looking at the activities of the merging parties defined the product market as the market for the ownership of land zoned “Light Industry”.
Merger Determination
The Commission found the proposed transaction unlikely to result in the prevention or substantial lessening of competition or result in any undertaking to acquire or strengthen a dominant position in the market and did not raise any public interest concerns.
However, as stated under section 50 of the Act, this approval does not relieve parties from complying with any other mandatory statutory approvals that any of the parties to this merger must comply with under Namibian Laws.
