Description: The Commission resolved to approve without conditions the acquisition by Namibia Ship Chandlers (Pty) Ltd. of shares in Beira Properties (Pty) Ltd.
Acquiring group: The primary acquiring undertaking is Namibia Ship Chandlers. The acquiring group provides chandling services to vessels. It sells food and technical supplies to ships/vessels calling at the ports of Walvis Bay and Luderitz.
Target undertaking: The primary target undertaking, Beira Properties (Pty) Ltd is jointly controlled by the primary acquiring undertaking, Namibia Ship Chandlers, and the Knouwds Trust. Beira Properties is a property holding company that owns an immovable property known as Erf 1459 (herein referred to as the target property) in Walvis Bay, measuring 7,500 m². The target property is zoned as business and comprises warehouses, offices, shops, and flats. The primary acquiring undertaking currently occupies the target property and subleases units it does not use.
Relevant market: The Secretariat defined the relevant market as the market for the ownership of immovable property zoned business in the municipal area of Walvis Bay, Namibia.
Merger Determination
The Commission found the proposed transaction unlikely to result in the prevention or substantial lessening of competition; does not result in any undertaking acquiring or strengthening a dominant position in the market and does not raise any public interest concerns.
