Description: The Commission resolved to approve without conditions the acquisition by Value Logistics (Pty) Ltd of the Business Services and Chain Store Contracts of RTT Group (Pty) Ltd (“RTT”).
Acquiring group: The primary acquiring undertaking is Value Logistics (Pty) Ltd. The acquiring group offers a variety of services, from truck rental to a completely integrated, customized supply chain solution, including warehousing and distribution.
Target undertaking: The primary target undertaking, RTT, services the requirements of chain store clients via a hub network, with deliveries into various distribution centers located across the country. It services the requirements of South African chain store outlets, direct loads, African countries, and volumes of business-to-business locations for the chain store client set.
Relevant market: The Secretariat defined the relevant market as the provision of logistics services in Namibia.
Merger Determination
The Commission found the proposed transaction unlikely to result in the prevention or substantial lessening of competition; does not result in any undertaking acquiring or strengthening a dominant position in the market and does not raise any public interest concerns. Given the parties' market share and the presence of other competitors, the increase in market share resulting from the transaction is minimal. Therefore, the proposed transaction will not pose any competition concerns in Namibia.
